CITY OF BAYTOWN NOTICE OF MEETING NOTICE OF JOINT BOARD OF DIRECTORS MEETING OF THE BAYTOWN REDEVELOPMENT AUTHORITY AND TAX INCREMENT REINVESTMENT ZONE NUMBER ONE, CITY OF BAYTOWN, TEXAS TUESDAY, AUGUST 12, 2025 4:00 P.M. COUNCIL CHAMBER, CITY HALL 2401 MARKET STREET, BAYTOWN, TEXAS 77520 AGENDA CALL TO ORDER AND ANNOUNCEMENT OF QUORUM

1. CITIZEN COMMENTS Notice is hereby given that in accordance with the Texas Open Meetings Act, Texas Government Code, Chapter 551, prohibits the Baytown Redevelopment Authority and Tax Increment Reinvestment Zone No. One from discussing, deliberating, or considering, subjects for which public notice has not been given on the agenda. Issues that cannot be referred to the administration for action may be placed on the agenda of a future Baytown Redevelopment Authority and Tax Increment Reinvestment Zone No. One Session.

2. BAYTOWN REDEVELOPMENT AUTHORITY (BRA) ITEM

a. Consider approving a Tax Increment Reinvestment Zone (TIRZ) Reimbursement Agreement by and among Reinvestment Zone Number One of the City of Baytown, the Baytown Redevelopment Authority (BRA), and San Jacinto Retail Associates, LLC for the financing of public infrastructure improvements related to the redevelopment of the San Jacinto Mall property.

b. Consider approving a Consulting Services Agreement with Equi-Tax Inc.

c. Consider approving a Consulting Services Agreement with Community Development Strategies (CDS) and John Stover & Associates to complete a Market and Feasibility Demand Analysis for the City of Baytown's Tax Increment Reinvestment Zones.

d. Consider approving a professional services agreement with Husch Blackwell LLP for legal representation and counsel on economic development and general legal matters, in an amount not to exceed $25,000.00.

3. TAX INCREMENT REINVESTMENT ZONE (TIRZ) ITEM

a. Consider approving a Tax Increment Reinvestment Zone (TIRZ) Reimbursement Agreement by and among Tax Increment Reinvestment Zone Number One (TIRZ) of the City of Baytown, Texas, the Baytown Redevelopment Authority (BRA), and San Jacinto Retail Associates, LLC for the financing of public infrastructure improvements related to the redevelopment of the San Jacinto Mall property.

a. Consider approving the minutes of the July 29, 2025, Special Joint Meeting of the Baytown Redevelopment Authority and Tax Increment Reinvestment Zone Number One.

5. REPORTS & FUTURE BUSINESS ITEMS

a. Receive and discuss reports from staff for items of community interest to include development-related projects, programs, opportunities, and potential items for future meetings.
