THIS IS SOMETHING WE'VE LOOKED FORWARD TO DOING FOR, I CAN LITERALLY SAY YEARS. UH, THIS IS TRUE. IT'S A VERY IMPORTANT FOUNDATIONAL AGREEMENT TO MOVING FORWARD AND IN A GREAT SIGNAL TO OUR CITIZENS THAT, UH, THIS PROJECT IS GOING TO BECOME A REALITY. UH, WE CAN NOW PUBLICLY DISPOSE THAT, UH, HYATT, UH, IS THE BRAND THAT WE HAVE BEEN NEGOTIATING WITH. UH, THE, UH, THE FIRST OF THE TWO AGREEMENTS IS WHAT'S CALLED A TECHNICAL SERVICES AGREEMENT. UH, IT IS A DOCUMENT THROUGH WHICH HYATT AND THE BAYTOWN ENTITIES PARTNER TOGETHER TO MAKE SURE THAT ALL OF THE DESIGN AND THEN THE CONSTRUCTION OF THE HOTEL ITSELF COMPLIES WITH ALL OF THE TECHNICAL REQUIREMENTS AND BRAND REQUIREMENTS, UH, UH, UH, THAT, THAT HYATT, UH, UH, WILL, UH, REQUIRE, UH, FOR THE HOTEL. UH, SO, UH, THE PARTIES HAVE, UH, BEEN, UM, COORDINATING FOR A GOOD PERIOD OF TIME, UH, ON THIS DOCUMENT, BUT IT IS NOW TIME TO FORMALIZE THAT AGREEMENT. UH, IN JUST RUNNING THROUGH THE PRINCIPLE TERMS, UH, IT'S A $250,000 AGREEMENT. UH, 150 OF THAT WILL BE PAID, UH, BEFORE THE BONDS, UH, ARE, ARE ISSUED. UH, UH, WELL, ACTUALLY A HUNDRED THOUSAND WOULD BE PAID BEFORE THE BONDS ARE ISSUED, 50 NOW, UH, 50 IN THREE MONTHS. AND THEN ONCE THE BONDS ARE ISSUED, UH, THE REMAINING 150 WOULD BE PAID A HUNDRED, UH, AT THE TIME OF THE BOND ISSUANCE. AND THEN 50,000, UH, THREE MONTHS AFTER THAT. UH, THE AGREEMENT WILL RUN, UH, FROM, UH, TODAY, UH, THROUGH THE OPENING DATE OF THE HOTEL, UH, WHICH WE'RE ASSUMING BASED ON A APRIL, 2021 START DATE. UH, THAT WOULD BE OCTOBER OF 2020. UH, SO UNDER THE AGREEMENT, UH, UH, REALLY WHAT THE, THE BAYTOWN ENTITIES ARE REQUIRED TO DO, UH, ARE REALLY COORDINATE AND PROVIDE ACCESS TO OUR CONSULTANTS, UH, UH, FOR, FOR, UH, FOR HYATT TO, TO WORK THROUGH ALL OF THE TECHNICAL SPECIFICATIONS. UH, AND THAT, AGAIN, IS UNDERWAY. THE OTHER THING THAT BAYTOWN WILL BE DOING IS CONSTRUCTING, UH, A SERIES OF MODEL ROOMS, BOTH A QUEEN ROOM AND A KING ROOM. UH, IN ALL THAT, OF COURSE, IS UNDERWAY, AND I THINK THEY'RE ACTUALLY GONNA BE MOVING THOSE INTO A, UH, AN ENCLOSED ENVIRONMENT, UH, SO THAT I CAN EXPECT 'EM, UH, AND MAKE SURE THAT, THAT THOSE ROOMS MEET ALL OF THE BRAND STANDARDS. UH, SO FAIRLY STRAIGHTFORWARD AGREEMENT, UH, FAIRLY TYPICAL FOR THESE TRANSACTIONS. UH, UH, THERE'S ONE WRINKLE HERE BECAUSE NORMALLY, UH, UH, WE TRY TO ENTER INTO THESE, UH, AT, AT THE TIME THAT THE BONDS ARE ISSUED. BUT DUE TO THE, THE DELAY RELATED TO COVID, UH, YOU KNOW, AND THE DESIRE TO KEEP THIS MOVING ALONG, WE'RE ENTERING INTO THIS AGREEMENT NOW AS OPPOSED TO, UH, THE, THE, THE CLOSING, UH, JUST SO WE CAN TAKE ADVANTAGE OF THIS TIME THAT WE HAVE, UH, AS A RESULT, UH, UH, [00:05:01] ONE OF THE THINGS HYATT HAS, UH, ASKED FOR IS AN IDENTIFICATION, UH, FOR THEIR GROSS NEGLIGENCE, A WEALTH MISCONDUCT. THAT'S A FAIRLY TYPICAL INDEMNIFICATION THAT ENTITIES GIVE, UH, UNDER TEXAS LAW, UH, UNDER THE STATE CONSTITUTION. GOVERNMENTAL ENTITIES, UH, LIKE BAYTOWN, UH, CANNOT INDEMNIFY PRIVATE PARTIES, EXCEPT IF YOU HAVE A DESIGNATED FUND OR, UH, OR A PARTICULAR AMOUNT, UH, HAVE AN OPEN ENDED INDEMNITY. SO, UH, WE, UH, AGREED WITH, WITH, WITH HYATT TO PROVIDE A A HUNDRED THOUSAND DOLLARS FUND. AND THAT IN THE EVENT THAT THERE WAS, UH, AN IDENTIFICATION REQUIRED BY BAYTOWN OF, UH, OF HYATT, UH, WHICH IS, UH, EXTREMELY UNLIKELY, BUT, UH, WE WOULD MEET THE REQUIREMENTS OF THE CONSTITUTION TO, TO HAVE THAT IF THERE IS NO INDEMNITY, UH, REQUIRED AT THE TIME, THE, UM, UH, THE, THE BONDS ARE ISSUED THAT A HUNDRED THOUSAND GOES BACK, UH, TO, TO, TO BAYTOWN AND IS RELEASED. UM, SO THAT'S THE, UH, THAT'S THE AGREEMENT. UH, BUT THERE ARE A COUPLE OF CHANGES THAT WERE REQUESTED TODAY THAT WE WORK THROUGH. UH, I DON'T KNOW IF THEY'RE EVEN LARGE ENOUGH TO MENTION, UH, WE, WE'VE CLARIFIED THAT ANY INTEREST, UH, THAT WOULD, UH, BE DUE TO THE, DUE TO FAILURE TO PAY THE, THE FEES IN A TIMELY MANNER WOULD EARN INTEREST THAT THE MAXIMUM RATE THAT THE GOVERNMENT CODE, UH, WE'VE CLARIFIED SOME OF THE LANGUAGE, AS YOU'LL SEE, UH, IN, UH, IN THE DOCUMENT, UH, TO, TO REALLY CLARIFY THAT THE, THE A HUNDRED THOUSAND DOLLARS AMOUNT WOULD, UH, UH, THE INDEMNITY FUND WOULD BE IN PLACE THROUGH THE DATE OF CLOSING. UM, AND THEN WE MAKE SOME OTHER REFERENCES TO APPLICABLE LAW, UH, WHERE, UM, YOU KNOW, HYATT WANTED TO MAKE SURE THAT, UH, CERTAIN ACTIONS UNDER THE DOCUMENT WERE CONFIDENTIAL AND WE'RE HAPPY TO DO THAT. THAT'S WHAT, UH, BAYTOWN WANTED TO ADD, BUT WE CAN CERTAINLY TALK TO THEM ABOUT, WE, WE ABSOLUTELY WANT A COUNCIL, OUR MDD BOARD. AND THE REASON BEING THAT IS HOW THIS FACILITY'S GONNA BE MARKETED, UH, BAY, UH, HOUSTON IS, UH, A VERY IMPORTANT WORLD DESTINATION FOR US. AND WHEN PEOPLE STAY IN BAYTOWN TO PEOPLE COMING FROM CHINA OR EUROPE OR MASSACHUSETTS, IT DOESN'T MATTER WHERE THEY'RE COMING FROM, THEY'RE COMING TO HOUSTON, UH, TO STAY. IT HELPS IDENTIFY, HELPS US CO-BRAND WITH THE GREATER HOUSTON AREA. MORE IMPORTANTLY, DO WE HAVE THE NAME BAYTOWN IN THERE SOMEWHERE? AND NOT JUST THAT, WE CERTAINLY DIDN'T WANNA DO JUST, UH, HYATT REGENCY HOUSTON EAST OR SOMETHING LIKE THAT, BUT WE WANTED BAYTOWN TO BE FRONT AND CENTER IN THAT NAME, BUT WE ALSO WANTED SOME TIE IN IDENTITY TO THE GREATER HOUSTON AREA, WHICH IS GOING TO HELP US MARKET THIS FACILITY TO THE WORLD. IT WOULD REALLY BE FOR THE WORLD. I DISAGREE WITH THAT. THE COMPANY I WORK FOR HAS PEOPLE COMING IN ALL OVER THE WORLD, AND THEY FIND BAYTOWN AND THEY FIND WHERE ONE OF OUR OTHER LOCATIONS IS. BUT, UM, BUT, UH, I WILL, I WOULD SUBMIT TO YOU THAT IT'S ADVANTAGEOUS TO TAKE ADVANTAGE OF OUR GEOGRAPHY. ONE OF THE THINGS WHEN WE WERE MEETING WITH THE BATTLESHIP FOUNDATION THAT THEY WANTED TO KNOW AND THAT THEY WERE SKEPTICAL OF IS HOW CAN YOU, AND THEY, THEY KINDA LEFT THE CAT OUT OF THE BAG IN MY OPINION, BUT THEY SAID, HOW CAN YOU COMPETE WITH A GALVESTON? AND SO THAT HAD THEM GO WELL, OKAY, QUESTION ANSWERED AT THAT POINT, WE NEED TO TAKE ADVANTAGE OF THAT. I ONCE MANAGED A TOWN THAT, THAT WANTED TO SEPARATE THEMSELVES FROM SCOTTSDALE, YOU KNOW, SCOTTSDALE WORLD DESTINATION FOR RESORTS AND GOLFING AND, YOU KNOW, ALL KINDS OF THINGS LIKE THAT. I, I THOUGHT IT WAS FOLLY THEN, AND I WOULD THINK THAT IT WOULD NOT BE WISE FOR US TO NECESSARILY COMPLETELY DIVORCE US FROM OUR PROXIMITY TO HOUSTON IN THIS REGARD. SO IT JUMPED OUT AT ME ALSO WHEN I READ IT. AND I, I DIDN'T LIKE IT AT FIRST EITHER, BUT WHEN, WHEN IT WAS EXPLAINED TO ME FROM A MARKETING PERSPECTIVE, I DO UNDERSTAND IT. SO IF SOMEONE FROM OUT OF TOWN IS MORE LIKELY TO GOOGLE HYATT HOUSTON THAN HYATT BAYTOWN, AND WHEN YOU GOOGLE HYATT HOUSTON, IF THIS IS IN THE NAME HYATT BAYTOWN HOUSTON WOULD COME UP IN THEIR SEARCH. AND SO THEY'RE MORE LIKELY TO STAY AT IT IF IT COMES UP IN THEIR SEARCH FOR HOTELS THAN IF IT DIDN'T. SO I, I UNDERSTAND IT. AND, UM, IT'S, FROM A MARKETING PERSPECTIVE, IT MAKES SENSE TO ME. IF YOU LOOK AT MOST OF OUR NEWER HOTELS IN BAYTOWN, THEY ACTUALLY HAVE HOUSTON IN THE NAME. SO IT'S, IT, IT IS MAINLY MORE OF A, OF A DIGITAL MARKETING TOOL. YEAH. AND THAT'S WHERE PEOPLE FIND HOTELS. YEAH. I GUESS THAT'S THE WAY LYNCHBURG FEELS. YEAH. . WELL, BUT THE ABSENCE OF BAYTOWN WOULD'VE BEEN A MISTAKE. WHAT IS IT? WELL, SURE. THE ABSENCE OF THE NAME BAYTOWN YEAH. WOULD'VE BEEN A MISTAKE. OH, ABSOLUTELY. YEAH. THE INCLUSION OF HOUSTON I'M SUBMITTING IS STRATEGIC. YEAH, YEAH. YOU THINK THERE WOULD BE SOME POTENTIAL UPSIDE WITH THE INCLUSION OF THE WORD HOUSTON AND, AND REALLY, I DON'T KNOW OF ANY DOWNSIDE BY INCLUDING THE WORD HOUSTON, SO, WELL, IF Y'ALL FEEL COMFORTABLE WITH IT, I'M, I'M FINE WITH IT. I JUST, I JUST LIKE, BAYTOWN BEING STANDALONE, THAT'S HYATT'S POSITION. THEY PREFER THE WORD HOUSTON. NO, I THINK, I THINK THIS HAS BEEN TOTALLY ON OUR SIDE AS WE DISCUSSED. WE, UH, WE CONTEMPLATE THE TOURISM AND THE, AND THE BUSINESS ASPECTS OF MARKETING THIS PROPERTY FOR SUCCESS. AND, AND CLEARLY I THINK THERE WILL BE A LOT OF CONNECTIVITY BETWEEN, UH, OUR FACILITY AND THE MARKETING AT THE OTHER HYATTS, UH, IN THE AREA. I THINK THAT, YOU KNOW, HOUSTON PLAYS HOST TO SO MANY MAJOR EVENTS AND SO MANY MILLIONS OF PEOPLE EVERY YEAR. AND I THINK HYATT'S GOING TO BRING EVERY RE UH, ASSET INTO PLAY IN TRYING TO ACCOMMODATE THAT TRAFFIC. AND, UM, FOR MYSELF, I, I'M OKAY WITH HAVING THE HOUSTON DESIGNATION AND UM, I AGREE WITH THE MARKETING PERSPECTIVE AND, UM, WHEN IT COMES TO PULLING IT UP, I MEAN, EVERY HOTEL HAS A LOCATIONS SEARCH [00:15:01] ANYWAY, AND, UM, SO I'M OKAY WITH HAVING IT AS IS.
