UM, SO THIS IS YOUR FIRST ACTION ITEM ON TONIGHT'S, UM, AGENDA.
UM, IS APPROVING THE AMENDMENTS OF THE BYLAWS FOR, UM, THE REDEVELOPMENT AUTHORITY, T NUMBER ONE AND T NUMBER TWO.
UM, THE PROPOSED AMENDMENTS ARE LARGELY A HOUSEKEEPING ITEM IN NATURE, AND THESE WERE IDENTIFIED NECESSARY, UM, AS THE BOARD, UM, WAS BECOMING RE-ENGAGED.
UM, THIS EFFORT WAS PROMPTED BY CITY'S COUNCIL'S DESIRE FOR THE REDEVELOPMENT AUTHORITY TO OVERSEE BOTH REINVESTMENT ZONE NUMBER ONE AND REINVESTMENT ZONE NUMBER TWO.
UM, DURING THIS REVIEW WE DID, UM, IDENTIFY SOME OUTDATED LANGUAGE AND IN SOME CASES CONFLICTING LANGUAGES, UM, PARTICULARLY IN THE GOVERNING DOCUMENTS, UH, RELATED TO, UM, APPOINTMENTS AND JUST OVERALL GOVERNANCE.
SO OUR OVERALL GOAL WITH THE, UM, PROPOSED CHANGES, UH, WAS TO MAKE SURE THAT ALL OF THE GOVERNING DOCUMENTS IDENTIFIED IN THE BYLAWS, UM, PROVIDED CONSISTENCY AND CLARITY, UH, MOVING FORWARD FOR THE AUTHORITY AND THEN BOTH ZONES.

SO WE HAVE GONE THROUGH AND CLEANED UP ALL OF THOSE NOTES, UM, AND MADE WHAT WERE REALLY UN UN MATERIAL CHANGES RELATED TO THOSE NOTES.
THE SUBSTANTIVE CHANGES THAT HAVE OCCURRED IN THESE BYLAWS IS THAT WE ARE EXPANDING IT TO INCLUDE TURS TWO.
SO AS YOU KNOW, AS IT WAS ORIGINALLY WRITTEN, IT ONLY INCLUDED TURS ONE.
UM, WE'VE UPDATED NAMES AND INFORMATION AND WE WILL BE MAKING UPDATED CERTIFICATIONS TO THE STATE ON CHANGES IN THAT AS WELL.
UM, BUT THAT'S REALLY JUST NAMES AND THAT'S REALLY THE TOTALITY OF THE CHANGES.

MOVING ON NOW, ITEM THREE B, CONSIDER RESOLUTION RECOMMENDING APPROVAL TO CITY COUNCIL AMENDING TAX REINVESTMENT ZONE NUMBER ONE, PROJECT AND FINANCING PLAN TO REVISE TAX AND BASED VALUE.UM, UH, BOARD MEMBERS, AS YOU MAY RECALL, THE SECOND ZONE WAS ESTABLISHED IN DECEMBER OF 2023 WITH A BASE VALUE OF APPROXIMATELY, UH, 389 MILLION.
AFTER FURTHER REVIEW WITH, UM, STAFF AS WELL AS OUR, UM, LEGAL COUNSEL AND FINANCIAL ADVISORS, UM, WE BELIEVE THAT THIS FIGURE WAS BASED ON THE TOTAL ASSESSED VALUE OF THE PROPERTIES THAT ARE LOCATED WITHIN ZONE NUMBER TWO RATHER THAN THE CERTIFIED TAXABLE VALUE.
UM, WHICH DOES ACCOUNT FOR, YOU KNOW, DIFFERENT EXEMPTIONS AND OTHER STATUTORY ADJUSTMENTS, UM, FOR TAXING PURPOSES.
AND SO THIS RESULTED, UM, YOU KNOW, WE BELIEVE IN THAT SIGNIFICANT OVERSTATEMENT OF THE BASE VALUE THAT WAS ESTABLISHED IN 2023.
UM, WHEREAS, YOU KNOW, THE CERTIFIED TAXABLE VALUES, THIS IS, THIS IS AFTER THE FACT, UM, FOR ZONE NUMBER TWO, UH, WERE APPROXIMATELY 310 MILLION, UH, DOLLARS.
SO THE FIRM THAT ORIGINALLY PROVIDED, UM, THESE FIGURES WAS CONTRACTED DIRECTLY WITH THE CITY, UM, NOT THE REDEVELOPMENT AUTHORITY AND IS NO LONGER PROVIDING, UM, ANY TYPE OF FINANCIAL GUIDANCE OR ASSISTANCE, UM, RELATED TO THE TS.
