[a. Discuss the rehabilitation of approximately 250 affordable rental housing units located at 6033 Garth Road, Baytown, Texas, which is also known as Rosemont at Baytown Apartments.]

ITEM ONE A DISCUSSED REHABILITATION.

REHABILITATION OF APPROXIMATELY 250 AFFORDABLE RENT.

HOUSE UNITS ARE LOCATED AT SIX, 6,000.

GOOD EVENING COUNSEL.

TONIGHT WE'RE GONNA RECEIVE A PRESENTATION FROM SETH, UH, SOUTHEAST TEXAS HOUSING AND FINANCE CORPORATION.

THEY HAVE A NUMBER OF, UH, AFFORDABLE UNITS IN WHICH THEY'RE HOPING TO REHAB AT THE EXISTING, UM, APARTMENT COMPLEX CALLED ROSEMONT.

AND THIS IS ALL SEEKING, UM, I GUESS, LOW INCOME TAX CREDITS IN THE NEAR FUTURE, BUT WITH WHICH YOU ALL WILL HAVE TO APPROVE A RESOLUTION FOR.

UM, SO TONIGHT WE'RE NOT RECEIVING A DECISION, BUT YOU JUST WANT TO HEAR THE PRESENTATION AND GIVE ANY FEEDBACK THAT YOU HAVE FOR THE, THE PRESENTER.

UH, CITY OF BAYTOWN, UH, IS, UH, AN ORIGINAL INCORPORATING MEMBER.

UM, WE'VE BEEN AROUND FOR, FOR 40 YEARS, AND IT'S BEEN A WHILE SINCE WE'VE BEEN OUT.

SO FIGURE IT'S, UH, TIME FOR US TO RE REINTRODUCE OURSELVES.

UM, YOUR NOMINATED, UM, UH, BOARD MEMBER THAT, THAT SITS ON OUR BOARD IS, IS MANUEL S UM, HE'S BEEN ON OUR BOARD FOR I THINK ABOUT ONE YEARS.

WE ARE A, UM, UNIT OF GOVERNMENT, UH, SUBDIVISION OF THE STATE.

UM, AND WE ARE HERE TO, UH, SERVE, UH, THE CITY OF BAYTOWN, ALONG WITH THE OTHER, UH, 19 JURISDICTIONS, UH, THAT WE SERVE NINE COUNTIES IN 11 CITIES IN THE HOUSTON METRO AREA.

AND SO THE, THE, THERE WE GO.

UM, MAP OUR TERRITORY.

UM, THE, THERE'S A COUPLE DIFFERENT LAYERS ON HERE, UH, THAT, UH, SPECIFY T-D-H-C-A, THAT'S THE TEXAS DEPARTMENT OF HOUSING COMMUNITY AFFAIRS IS THE STATE AGENCY THAT WE, UH, PRIMARILY INTERACT WITH IN, IN THE, UH, TAX CREDIT PROGRAM.

UM, THEY HAVE, UH, DESIGNATED CERTAIN JURISDICTIONS, URBAN AND RURAL.

UM, THE, UH, COUNTIES OF FORT BEND, HARRIS COUNTY AND MONTGOMERY COUNTY, UH, ARE LAID OUT BECAUSE WE DON'T SERVE THOSE JURISDICTIONS.

UH, WE DO SERVE SOME OF THE INCORPORATED AREAS OF HARRIS COUNTY THAT YOU SEE ON HERE.

TOMBALL, UH, PASADENA AND DEER PARK, THE PORT TROY ACRES AND BAYTOWN, UH, BOTH SIDES OF BAYTOWN, UM, AND IN CHAMBERS AND, AND PARISH COUNTY.

AND, UM, THE URBAN AREAS, UH, RECEIVE, UH, APPROXIMATELY 98% OF THE, UH, TAX CREDITS THAT ARE ALLOCATED IN, IN REGION SIX, UM, WHICH IS A RAD RATHER LARGE SUM.

UM, WHAT IS BRINGING US HERE BEFORE YOU, UH, NOW AND, AND FOR THE FORESEEABLE FUTURE, UM, IS GOING TO BE, UH, INCREASED, UH, VOLUME IN THESE PROGRAMS. THEY'VE BEEN LARGELY DORMANT, UH, OVER THE LAST, SINCE THE FINANCIAL COLLAPSE.

UM, JUST THE NATURE OF THE PROGRAM, UH, DROVE, UM, PARTICIPANTS IN, IN THE TAX CREDIT PROGRAM TO PRIMARILY PARTICIPATE IN THE URBAN AREA.

UH, BUT AT THE END OF THE LAST, UH, ADMINISTRATION IN DC THEY, THEY, THEY TWEAKED, UH, ONE OF THE PROGRAMS AND THAT IS STARTING TO DRIVE, UH, DEVELOPERS TO, UH, SEEK FUNDING AND, AND RESOLUTIONS AND POLITICAL SUPPORT FOR THESE PROJECTS IN THE SUBURBS.

NOW, UH, ANOTHER FACTOR IN OUR REGION IS THAT THE CITY OF HOUSTON, HARRIS COUNTY ARE RUNNING OUT OF DISASTER RECOVERY DOLLARS, AND THEY WERE LAYERING, UH, 20, $25 MILLION INTO EACH ONE OF THESE PROJECTS.

AND, AND THAT WAS A FEEDING PRINCIP.

UM, SO THE CITY AND HARRIS COUNTY ARE, ARE RUNNING OUT OF THOSE FUNDS, AND SO DEVELOPERS ARE STARTING TO REACH OUT, UH, AND FIND, FIND, UH, NEW OPPORTUNITIES FOR THE PROGRAM.

THERE'S, THERE'S TWO TRACKS, AND I'M SURE THAT Y'ALL ARE ACCUSTOMED TO GETTING, UM, PRESENTATIONS FROM DEVELOPERS THAT ARE PARTICIPATING IN THE 9% PROGRAM.

THAT'S THE NEW CONSTRUCTION PROGRAM.

WE'RE COMING BEFORE YOU TODAY FOR, UH, THE 4% PROGRAM.

THIS IS THE NON-COMPETITIVE PROGRAM.

THE TASK CREDITS ARE NOT AS

VALUABLE TO THE INVESTORS.

UM, AND SO THE, THE, THE THRESHOLD, UH, FOR LOCAL SUPPORT IS, UH, LESS THAN WHAT YOU WOULD EXPECT FOR THE 9% PROGRAM.

9% PROGRAM.

JURISDICTIONAL SUPPORT IS A FULL RESOLUTION OF SUPPORT, UM, FROM CITY COUNCIL AND THE STATE REP.

UM, AND, AND IN THE PROJECT'S TERRITORY, UH, FOR 9%, OR SORRY FOR 4%, IT'S JUST A RESOLUTION OF NO OBJECTION.

YOU'RE JUST SAYING YOU'RE NOT AGAINST IT, YOU'RE NOT FAVOR OF IT, YOU'RE JUST, YOU DON'T OBJECT TO IT.

SO IT'S A LOWER BAR.

UM, THESE ARE, UM, WE HAVE TO DEAL WITH, UM, AREA IMMEDIATE INCOMES, UH, QUITE A BIT.

THIS IS JUST FOR INFORMATIONAL PURPOSES.

UM, CITY OF BAYTOWN, UH, IS CONSIDERED TO BE PART OF THE, UH, HOUSTON FAIR MARKET RENT AREA, WHICH IS THAT MIDDLE ORANGE SHADE.

UM, THE AREA MEDIA INCOME, UM, ACCORDING TO, UH, HUD WHO PUBLISHES THESE FIGURES, UM, WITH 79,200, UM, THESE AREA MEETING INCOMES DRIVE, UH, THE TENANCY, UM, FOR THESE PROJECTS, UM, JUST FOR INFORMATION PURPOSES, WE HAVE TO DEAL QUITE A BIT WITH A VERY WIDE DISCREPANCY BETWEEN ROSARIA COUNTY AND MATAGORDA COUNTY.

THAT DOES TEND TO CAUSE SOME FRUSTRATION, PARTICULARLY FOR THE JURISDICTIONS THAT ARE RIGHT ON THAT BORDER.

UM, THESE ARE, UM, SOME OF THE PROJECTS THAT WE HAVE, UM, BONDS ON CURRENTLY.

UM, THE PORTFOLIO HAS SHRUNK.

UH, AS I SAID, WE GRADUALLY GET PAID OFF, UH, ON THESE.

UM, IN THE 40 YEAR HISTORY WE'VE ISSUED JUST UNDER A BILLION, UH, WHICH HAS ENABLED 14,000 UNITS OF AFFORDABLE AND WORKFORCE HOUSING.

UH, OUR CURRENT PORTFOLIO IS ONLY EIGHT, UM, BUT WE ARE, UM, PROBABLY GONNA BE DOUBLING THAT, UH, IN THE NEXT TWO YEARS GIVEN, GIVEN THE ADDITIONAL VOLUME THAT THE GRANT IS SEEING.

UM, WE ALSO, UH, PARTICIPATE AS A JOINT VENTURE PARTNER, UM, IF THE DEVELOPER US TO, UH, JOIN THE PARTNERSHIP, UH, AND THAT IN YOURS, THE PROPERTY WITH A PROPERTY TAX EXEMPTION.

UM, THERE ARE CURRENTLY SIX PROPERTIES, UH, IN OUR PORTFOLIO, UH, IN THOSE JURISDICTIONS THAT HAVE THE PROPERTY TAX EXEMPTION.

WHAT WE TURN THE PROFITS FROM, OUR PARTICIPATION IN THESE PROGRAMS, HIS DOWN PAYMENT AND CLOSING COST ASSISTANCE, UH, FOR FIRST TIME HOME BUYERS ACROSS THE STATE.

AND WE CURRENTLY HAVE SIX SINGLE FAMILY PROGRAMS, UH, THAT WE'VE ADMINISTERED SINCE, UH, 2012.

AND WE RUN THOSE THROUGH, UH, MORTGAGE COMPANIES.

THE BANKS PROVIDE THE FIRST LIEN, AND WE LAYER IN A SECOND LIEN EITHER IN THE FORM OF A SECOND LIEN OR A GRANT, UH, DEPENDING ON THE PROGRAM, UM, DOWN PAYMENT AND CLOSING COSTS OF SYSTEMS TO HELP 'EM BUY THEIR FIRST HOUSE.

SO WE ARE HELPING FOLKS ACHIEVE THE AMERICAN DREAM.

WE'RE VERY PROUD OF THAT.

UM, ACROSS THE STATE, WE'VE FACILITATED 3 BILLION IN FAVORABLE FINANCING FOR FIRST TIME HOME BUYERS, AS ARE INCOME QUALIFIED FIRST TIME HOME BUYERS.

UH, THEY CAN'T MAKE OVER A CERTAIN THRESHOLD, UH, BUT THEY HAVE TO MAKE ENOUGH, UH, TO QUALIFY FOR THE MORTGAGE.

SO THERE'S A, UM, WE, WE ARE, UH, ATTEMPTING TO SERVE THAT MISSING MEDAL, UM, THAT BANKS CAN'T QUITE SERVE.

UM, AND TO JUST GET 'EM ACROSS THE, THE FINISH LINE INTO HOMEOWNERS REVENUE.

WE ALSO REQUIRE, AS PART OF OUR PROGRAM, UH, DOWN PAYMENT, UM, I'M SORRY, HOME BUYER EDUCATION.

UM, WE'VE, UH, PROVIDED EDUCATION TO OVER 30,000 HOUSEHOLDS IN THE STATE.

AND, UH, 20,000 HOME BUYERS WITH DOWN COUNTY CLOSING COST ASSISTANCE.

WE'RE THE CITY OF BAYTOWN.

UH, SINCE 2012, WE'VE, UM, ENABLED JUST OVER 300, UH, FIRST TIME HOME BUYERS IN THE CITY OF BAYTOWN.

WE HAVE INVESTED 2.3 MILLION IN DOWN PAYMENT AND CLOSING COST ASSISTANCE, AVERAGE ASSISTANCE OF JUST, UH, 8,000 PER HOUSEHOLD.

AND THAT HAS ENABLED, UH, JUST SHY OF, UH, 52 MILLION IN MORTGAGES, UM, THAT WERE USED TO PURCHASE HOMES IN YOUR TERRITORY.

I, I HOPE THAT THE POINT THAT I'M, I'M TRYING TO MAKE HERE IS THAT YES, WE CAN TAKE MULTI-FAMILY PROPERTIES OFF THE TAX ROLLS, BUT WHAT WE WERE ABLE TO DO IS TURN AROUND AND LEVERAGE THAT FOR FAR GREATER IMPACT WITH SINGLE FAMILY.

EVERY SINGLE ONE OF THOSE SINGLE FAMILY HOMES IS PAYING TAXES.

WE ALSO PROVIDE, UM, CHARITABLE, UH, CHARITY TO OUR JURISDICTIONS.

WE HAVE RETURNED, UH, 3.2 MILLION BACK TO OUR LOCAL JURISDICTIONS.

WE DO THAT APPROXIMATELY EVERY FIVE TO SEVEN YEARS.

UH, OUR NEXT ONE IS COMING UP 2023.

UH, WE ARE, UM, BUDGETING FOR, UH, AN ALLOCATION BACK TO THE JURISDICTIONS.

THESE USUALLY COME IN ALL THE JURISDICTIONS, ALL 20 JURISDICTIONS GET, UM, EQUAL

SHARES, UM, KIND OF LIKE A DIVIDEND.

UM, WE STARTED DOING THIS, UM, 20 YEARS AGO, UM, WITH EACH JURISDICTION GETTING $30,000 AND WE'VE STEPPED IT UP.

UM, WE'RE TARGETING ABOUT $60,000 THIS NEXT TIME, AND THE JURISDICTIONS CAN USE THAT HOWEVER THEY CHOOSE.

IT IS UP TO, UH, MAYOR AND CITY COUNCIL TO DECIDE HOW THOSE ARE ALLOCATED.

WE ALSO SUPPORT NON-PROFITS PROJECT JOINT HOPE, UH, IN THE CITY OF PASADENA IS A VERY IMPORTANT NONPROFIT.

UM, SETH AND OUR BOARD OF DIRECTORS HAVE DONATED OVER A MILLION DOLLARS, UH, TO PROJECT JOY AND HOPE OVER OVER 40 YEARS.

IF YOU HAVE A HOUSING ORIENTED NONPROFIT, UM, THAT IS IMPORTANT TO YOU, IT'S IMPORTANT TO THE JURISDICTION, IT'S, IT'S IMPORTANT TO THE POLITICS.

UH, WE WOULD VERY MUCH LIKE TO SUPPORT, UH, THAT NONPROFIT, UH, HABITAT FOR HUMANITY IS VERY IMPORTANT.

LOVE TO SUPPORT THEM, UH, THAT WE TAKE OUR, OUR INSTRUCTIONS FROM THE JURISDICTION.

THIS, THESE PROJECTS, HERE'S WHAT TRIGGERED THIS.

AND SO THAT'S WHY I'M ASKING THE QUESTION.

I THINK I'M GONNA HAVE TO GET THAT INFORMATION.

AND I THINK THAT CAME UP IN PREVIOUS CONVERSATIONS WITH STAFF.

AND AT THE TIME, UM, I BELIEVE CHRIS, CORRECT ME IF I'M WRONG, UH, THAT THE MORATORIUM IS AGAINST NEW CONSTRUCTION.

YEAH.

SO WITH THE REHAB, SO, SO EXPLAIN A LITTLE BIT.

THAT'S WHAT I SEEN ON THE GEN ITEM WAS YES.

SO, SO WAS IT JUST GOING IN AND UPDATING THE FACILITY? CORRECT, YES.

WE ARE, UH, GONNA BE INVESTING ABOUT 30,000 UNIT IN, IN EXISTING AFFORDABLE HOUSING NCE.

IT'S ALREADY A TAX CREDIT PROJECT.

UH, IT'S ALREADY IN OUR PORTFOLIO.

WE ALREADY HAVE THE BONDS ON IT, AND SO WE ARE EFFECTIVELY RENEWING THE BONDS AND RENEWING, UH, AN INVESTMENT OF THE 30 TO 35,000 UNIT.

SO I THINK THAT YOU PROBABLY PUT IT BACK.

SURE.

WELL, WE ACTUALLY BACK IN 2017, 18, AFTER HARVEY, WE HAVE TWO APARTMENT COMPLEXES.

THE VILLAGE WAS ONE OF THEM IN MY DISTRICT, AND THERE'S ANOTHER ONE JUST OUTSIDE OF OUR JUS IN OUR ETJ ON WALLACE MILL THAT WE APPROVED THIS SAME THING FOR 'EM.

AND THEY WERE WANTING DO RENOVATIONS.

THEY CAME TO US AND ASKED FOR OUR OKAY ON IT, AND WE APPROVED IT, YOU KNOW.

SO THE, UH, INCOME RESTRICTIONS, YES, SIR.

SO I KNOW THERE'S A 15 YEAR PERIOD WITH THE TAX CREDIT PROJECTS, AND I BELIEVE THE 15 YEARS IS, IS UP NOW, SO TO SPEAK.

SO HOW DOES THAT WORK? AND OUTSIDE OF YOUR INCOME HOUSING TAX CREDITS, WOULD THERE BE ANY OTHER OPTIONS? UM, IT GETS THE, THE OPTIONS FOR EXISTING, UM, LITECH PROJECTS IS VERY LIMITED.

UM, WE CAN TAKE DEEPER AFFORDABILITY CUTS.

UH, THE STATE AGENCY LIKES TO SEE THAT, INVESTORS LIKE TO SEE THAT.

BUT TO INCREASE AND, AND GO ABOVE, UH, THE EXISTING INCOME RESTRICTIONS IS EXTRAORDINARILY DIFFICULT.

UM, YES, UH, YOU'RE RIGHT.

15 YEARS IS THE FIRST COMPLIANCE PERIOD, AND THEN THERE IS A SECOND 15, UH, YEAR COMPLIANCE PERIOD ON INCOME RESTRICTIONS.

YES.

OKAY.

YEAH.

AND THE FIRST, WHEN THE FIRST 15 YEAR COMPLIANCE, UH, PERIOD EXPIRES, THAT OPENS IT UP FOR A RECAPITALIZATION.

AND SO THE EXTENDED USE PERIOD, UH, IS A 15 YEAR PERIOD WHERE ADDITIONAL TASK CREDITS, UH, CAN BE LAYERED IN AND IT EFFECTIVELY LOCKS IT IN, UH, FOR THAT FIRST 15 YEAR PERIOD WHERE ALL THE PARTNERS, ALL THE INVESTORS, THE LENDER, YOU'RE PRETTY MUCH MARRIED TO EACH OTHER FOR 15 YEARS.

IT'S VERY DIFFICULT TO CHANGE THE PARTNERSHIP STRUCTURE IN THAT FIRST 15 YEARS.

WASN'T THERE SOME SORT OF OPTION WHERE THERE WAS A FIRST RU OF REFUSAL? YES.

SO THAT WAS THE FIRST RU OF SURE.

UH, A NONPROFIT, IF THEY CAN, UM, UH, STEP IN AND PROVIDE, UH, FINANCING, UM, THROUGH A, UM, UH, OPTION TO PURCHASE.

UM, IT IS EXTRAORDINARILY DIFFICULT FOR A NONPROFIT TO DO THAT, UH, BECAUSE THE WAY THE STATE AGENCY ADMINISTERS THE PROGRAM, UM, THE VALUE THAT GETS SET BY THE STATE AGENCY IS THE MARKET RATE VALUE AS IF THE INCOME RESTRICTIONS DO NOT EXIST.

AND THERE'S NOT A LENDER OR AN INVESTOR IN THIS COUNTRY THAT IS GONNA BE WILLING TO PROVIDE A LOAN TO A, UH, NONPROFIT AT MARKET RATE VALUE WITH A RESTRICTED RENT CASH FLOW.

SO I MEAN, IT APPEARS SINCE THE RECAPITALIZATION IS OCCURRING, JUST BARELY OUTSIDE THE 15 YEAR WINDOW, I MEAN, IT, IT KIND OF, I WOULD ASSUME THAT THIS WOULD CONTINUE AT LEAST SO TO SPEAK.

AND, AND IT, IT WOULD REPEAT ITSELF EVERY 15 YEARS.

JUST ABOUT EVERY 15 YEARS.

YEAH.

YES, SIR.

THAT'S THE IN TOWN OF THE PROGRAM.
